Acknowledgement

By using the service, purchasing software or other products, you signify your irrevocable acceptance of the following Terms and Conditions. You also agree to ensure that anyone who uses this account and/or software, also abides by the Terms and Conditions. MIXvoip has the right to revise the Terms and Conditions at any time without providing notice to its users.

Rule modification

Periodically, changes in these terms may be required to comply with regulatory or business requirements. Such changes will be published on the company website (www.mixvoip.com), and notifications may be sent to you via email, depending on the nature of the change. Continued use of MIXvoip products and services both before and after such changes, signifies irrevocable acceptance to the Terms and Conditions. MIXvoip reserves the right to change, modify, suspend or discontinue any portion of the Service at any time. MIXvoip may also impose limits on certain features or restrict your access to parts or the entire Service without notice or liability.

Eligibility

The Service is available to individuals who are eighteen (18) years of age or older as well as corporations and other organizations who can form legally binding contracts under applicable law. By accepting these Terms, you signify that you meet these qualifications of eligibility. MIXvoip may refuse to offer the Service to any person or company, and may change our criteria for eligibility, at any time, at its sole discretion. MIXvoip retains the right to terminate your account and your rights to use the MIXvoip products and services for any reason including but not limited to our belief or suspicion that any registration data you provide is or becomes untrue, inaccurate, not current, or incomplete.

Service Modification

MIXvoip cannot guarantee that the service will be uninterrupted or free of faults. At times MIXvoip may need to suspend service to correct a fault or for maintenance purposes. MIXvoip will try to restore the service as fast as possible. MIXvoip reserves the right to modify or discontinue service, temporarily or permanently, with or without notice to you. MIXvoip are not obligated to support or update our service and will not be liable to you or any third party in the event that we exercises our right to modify or discontinue our service and products.

Use of Service

Without limiting other remedies, MIXvoip may limit, suspend, or terminate this license and your use of the MIXvoip software, prohibit access to the MIXvoip website and delete your user with immediate effect, if we think that you are in breach of this agreement, creating problems, possible legal liabilities, acting inconsistently, infringing someone else’s intellectual property rights, engaging in fraudulent, immoral or illegal activities, or for other similar reasons.

Special conditions

At the current stage MIXvoip does not support emergency calls (eg: 112, 211, 999, 911). Connect your device or PABX to a traditional landline and route emergency calls through that connection.

Limitation of liability

MIXvoip will not be liable to you either in contract or tort (including negligence) or otherwise for any damage, cost or expense, loss of or corruption of data, loss of profits or production, loss of operational time, goodwill, contracts or anticipated savings or any indirect or consequential loss caused by the interruption, delay, suspension, non-delivery, packet loss caused by the interruption of the services the downloading or use of the software or any event beyond our control including the act of any network operator or third party. MIXvoip expressly excludes any warranty as to the suitability, quality or reliability of the services or the software that they will be fit or suitable for your purposes. You agree that the limitation of liability in this agreement is appropriate. These limitations do not restrict or limit your rights as a consumer. You may contact MIXvoip at any time by e-mail at the address given on the website www.mixvoip.com. Neither party shall be deemed in default hereunder, nor shall it hold the other party responsible for, any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott.

Termination

This Agreement will be effective as of the effective date and will remain effective until terminated by either MIXvoip or You as set forth below. MIXvoip may terminate this agreement at any time, with or without cause, by providing notice to You and/or by preventing your access to our services. You may terminate this agreement at any time, with or without cause.

Translation, Applicable Versions

Luxembourg Law requires that all legal documents be written in either the French or German languages. This English language version is provided for the convenience of English-speaking ‘Client’s, but the French or German versions of this Agreement will be binding.

Jurisdictional Issues

This Agreement is subject to Luxembourg Law, and any disputes will be resolved in the appropriate Luxembourg Court. This Service is controlled and operated by MIXvoip. MIXvoip makes no representation that materials in the service are appropriate or available for use in your location. Those who choose to access our services from any location do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Indemnity

You agree to indemnify and hold MIXvoip, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post to or transmit through the service, your use of the service, your connection to the service, your violation of the terms and conditions, or your violation of any rights of another person or entity.

Trademarks

The trademarks, logos and service marks (“Marks“) displayed on this Service are the property of MIXvoip or other third parties. You are not permitted to use the Marks without the prior written consent of MIXvoip or such third party, which may own the Marks. MIXvoip and the MIXvoip logo are trademarks of MIXvoip S.a.
